The Company Secretary will be responsible for ensuring compliance with statutory and regulatory requirements under the Companies Act and other applicable laws. The role involves advising the Board of Directors, maintaining corporate records, and ensuring good corporate governance practices within the company.
Key Responsibilities:
Ensure compliance with the
Companies Act, 2013
, MCA, and other statutory regulations
Prepare, file, and maintain statutory records, registers, and returns
Handle
ROC filings
, annual returns, and event-based compliances
Organize and manage
Board Meetings, AGM, EGM
, and prepare agendas & minutes
Draft resolutions, notices, and official company documents
Liaise with auditors, legal advisors, ROC, and regulatory authorities
Ensure timely compliance of
corporate governance norms
Advise management and Board on legal, secretarial, and compliance matters
Maintain company records, shareholding records, and statutory documents
Support management in company restructuring, agreements, and corporate matters
Required Skills & Competencies:
Strong knowledge of
company law and corporate compliance
Excellent drafting and documentation skills
Attention to detail and high level of accuracy
Good communication and coordination skills
Ability to maintain confidentiality and integrity
Qualification & Experience:
Member of the Institute of Company Secretaries of India (ICSI)
1-5 years of experience as a Company Secretary (experience in Pvt. Ltd. company preferred)
Practical exposure to ROC, MCA portal, and statutory compliances
