Job Description

We are looking for a

qualified Company Secretary (ICSI Certified)

on a

part-time basis

, with practical experience in

company closures

,

conversion into LLPs or OPCs

, and

mergers and acquisitions (M&A)

. The role requires strong expertise in corporate restructuring and MCA compliance, ideal for professionals seeking flexible working arrangements while contributing their domain knowledge.

Key Responsibilities:



Handle complete procedure for

strike-off/voluntary closure and winding up

of companies under the Companies Act, 2013. Manage

conversion of companies

into

LLPs or One Person Companies (OPCs)

, including drafting of resolutions, agreements, consents, and statutory filings. Assist in planning, structuring, and executing

mergers and acquisitions

including drafting of merger schemes, board approvals, NCLT filing assistance (if applicable), and post-merger compliance. Prepare and file necessary forms and documents on the

MCA V3 portal

, and liaise with the Registrar of Companies (ROC) and other regulatory authorities. Maintain compliance timelines and ensure accuracy of filings and documentation. Provide advisory support related to company law matters and structural changes.

Candidate Requirements:



Qualified Company Secretary

, member of

ICSI

.

1--3 years

of relevant experience in:

Company closures / strike-off

Conversion into LLPs and OPCs

Mergers and Acquisitions (M&A)

Sound understanding of the Companies Act, 2013, LLP Act, and related regulations. Strong drafting and communication skills. Ability to work independently with attention to detail and compliance deadlines.

Preferred Skills:



Practical knowledge of

MCA V3 filing system

and related ROC processes. Exposure to

legal documentation

,

due diligence

, and

NCLT coordination

(for M&A). Familiarity with professional compliance software and project tracking tools.

Compensation

: Project-wise or monthly retainer (as mutually agreed)
