ROLE OVERVIEW



Unlock Capital is seeking a Legal and Compliance Officer who will be responsible and accountable for regulatory, tax, and operational compliance across its Mauritius-based private equity fund and Indian advisory entities. The role is designed to ensure that Unlock Capital maintains the highest standards of governance and regulatory integrity across jurisdictions.

While the Indian LLPs act as sub-advisors to the Mauritius fund, the Compliance Officer will be expected to ensure all applicable Indian regulatory requirements are met in full. The position is primarily focused on the Mauritius structure, but may evolve to support future domestic vehicles, such as a potential SEBI-registered AIF, if and when that becomes relevant.

KEY RESPONSIBILITIES



1. Offshore Compliance



Coordinate regulatory filings and reporting obligations under the Financial Services Commission (FSC), Mauritius

Liaise with fund counsel and administrator for board packs, filing calendars, and statutory registers

Oversee FATCA/CRS compliance and cross-border reporting requirements

Ensure consistency between Mauritius operations and Indian advisory entity obligations

2. Onshore Compliance



Ensure compliance for Indian LLPs serving as sub-advisors to the Mauritius fund

Oversee RBI filings: InVi, FC-GPR, FC-TRS, FLA, and Form 15CA/CB

Manage income tax compliance including TDS, advance tax, returns, FATCA, CRS, and SFT

Support internal AML/KYC oversight, investor documentation protocols, and regulatory data requests

Handle RoC filings, partner resolutions, and compliance with LLP Act requirements

3. Transaction and Governance Support



Support review of legal documentation during investment execution (SHA, SSA, SPA, etc.)

Track and manage Conditions Precedent (CPs) and Conditions Subsequent (CSs)

Coordinate with external legal, tax, and fund administration partners during deal closing

Review commercial agreements and ensure internal documentation standards are upheld

IDEAL CANDIDATE



The ideal candidate is a compliance professional with the judgment, accountability, and attention to detail required to oversee multi-jurisdictional fund operations. This role is suited for someone who values precision, can manage multiple external stakeholders, and is looking to grow with an institution built for scale.

CS and LLB required; CA/ICWA (or intermediate qualification) preferred

4 to 6 years of experience in fund compliance, preferably with exposure to Mauritius fund structures

Strong understanding of Indian LLP regulatory obligations and cross-border advisory frameworks

Familiarity with SEBI AIF regulations is a plus, given potential for future domestic fund expansion

Ability to manage external advisors while being personally accountable for compliance outcomes

Highly organized, detail-oriented, and comfortable working in a lean, high-accountability environment
