Key Responsibilities:
Ensure
timely compliance
with all statutory and regulatory requirements under the
Companies Act, 2013
,
SEBI (LODR) Regulations, 2015
, and other applicable laws.
Handle
NSE/BSE compliances
, including periodic filings, disclosures, and responses to stock exchange queries.
Prepare and file
annual returns, forms, and reports
with
ROC, SEBI, NSE, BSE
, and other authorities.
Organize and manage
Board Meetings, Committee Meetings, and General Meetings (AGM/EGM)
-- drafting notices, agendas, resolutions, and minutes.
Maintain statutory registers and company records as required under the Companies Act.
Ensure compliance with
SEBI (Prohibition of Insider Trading) Regulations
, and monitor adherence to the
Code of Conduct for Insider Trading
.
Liaise and coordinate with
SEBI, NSE, BSE, NSDL/CDSL, auditors, and legal consultants
on various compliance and governance matters.
Prepare and review
Corporate Governance Reports, Annual Reports, and Directors' Reports
.
Monitor and manage
shareholding patterns, dematerialization, and investor correspondence
.
Provide advisory support on
listing regulations, takeover code, preferential issues, and other SEBI-related matters
.
Stay updated with amendments and circulars issued by
SEBI, NSE, BSE, and MCA
, and communicate relevant updates to the management.
Support the management in implementing
best practices in corporate governance and compliance frameworks
.
Required Qualifications and Experience:
Qualified Company Secretary (CS)
from the
Institute of Company Secretaries of India (ICSI)
.
Minimum
3-7 years
of post-qualification experience, preferably in a
listed company, stockbroking firm, or financial institution
.
Thorough knowledge of:
SEBI (LODR) Regulations, 2015
SEBI (PIT) Regulations, 2015
Companies Act, 2013
NSE/BSE listing compliance frameworks
Depository (NSDL/CDSL) procedures
Strong understanding of
corporate governance principles
and
capital market regulations
.
Excellent drafting, communication, and analytical skills.
Proficiency in
compliance software, MCA portal, and MS Office
.
Preferred Attributes:
Exposure to
IPO/Listing process
and
regulatory filings with SEBI and stock exchanges
.
Experience in dealing with
investor relations, secretarial audits, and internal compliance audits
.
Ability to handle confidential and sensitive information with professionalism and integrity.
