MCA, ROC, RBI and other authorities
(AOC-4, MGT-7, PAS-3, DIR-3, etc.).
Maintain and update statutory registers, minutes books, and corporate records.
Monitor changes in law and ensure timely implementation for clients.
2. Board & Shareholder Matters
Draft and issue
Board Meeting and AGM notices
.
Prepare
agenda, resolutions, minutes and explanatory statements
.
Conduct and manage Board Meetings, AGMs and EGMs.
Handle shareholder-related matters including share transfers, allotments and dividends.
3. Company Formation & Secretarial Work
Incorporation of companies, LLPs and other entities.
Handling of
name changes, object changes, share capital changes, director appointments/resignations
.
Preparation of MOA, AOA and other corporate documents.
4. Regulatory & Secretarial Audits
Conduct and assist in
Secretarial Audits
.
Prepare compliance checklists and audit reports.
Ensure timely closure of audit observations.
5. FEMA, RBI & FDI Compliance
Handle
FDI reporting, FC-GPR, FC-TRS, ECB, ODI and RBI filings
.
Liaise with Authorized Dealers and RBI when required.
6. Client Handling
Act as the main point of contact for corporate compliance clients.
Provide compliance updates, reminders and advisory support.
Attend client meetings along with CA partners when required.
7. Coordination with CA & Accounts Team
Work closely with
Accounts, Taxation and Audit teams
for seamless compliance.
Provide legal and compliance inputs for audits, due diligence and financial reporting.
Required Skills & Competencies
Strong knowledge of
Companies Act, SEBI, FEMA, and Corporate Laws

Excellent drafting skills for
resolutions, notices, minutes and agreements

Good understanding of
MCA, RBI and SEBI portals

Ability to handle multiple clients and deadlines.

Qualification & Experience
Qualified
Company Secretary (ICSI Member)

1-5 years of experience in a
CA Firm, CS Firm, or Corporate Compliance Environment
preferred.
Practical exposure to MCA, ROC filings and corporate compliances is mandatory.
