Role Overview
The Company Secretary will ensure statutory compliance, uphold strong corporate governance, and support the Board in effective decision-making. The role requires sound knowledge of corporate laws applicable to a listed entity along with the ability to coordinate across regulatory, legal, and internal functions within an EPC environment.
Key Responsibilities
A. Statutory & Regulatory Compliance
Ensure compliance with the Companies Act, 2013, SEBI regulations, LODR guidelines, and other applicable laws for a listed company.
Prepare and file all statutory forms, returns, and disclosures with MCA/ROC, SEBI, and stock exchanges.
Maintain statutory registers, minutes, and records as per Secretarial Standards.
B. Board, Committee & Shareholder Meetings:
Plan and conduct Board Meetings, Committee Meetings, and Annual General Meetings.
Draft and circulate notices, agendas, resolutions, and minutes.
Support the Board with governance insights, regulatory updates, and documentation.
C. Corporate Governance & Compliance Framework
Establish and monitor internal compliance processes.
Advise the management on governance standards, risk mitigation, and legal obligations.
D. Liaison & Coordination
Act as the primary contact with regulators--MCA, ROC, SEBI, stock exchanges, and other authorities.
Coordinate with auditors, legal counsels, and consultants for compliance and audit matters.
E. Corporate Law & Legal Support
Review and vet contracts, agreements, and legal documents relevant to EPC projects.
Support secretarial audit, compliance audits, and due diligence activities.
F. Corporate Actions & Shareholder Matters
Manage share capital changes, ESOP matters, filings, and investor-related compliances.
Handle disclosures, quarterly compliances, and corporate announcements.
G. Skills & Qualifications
Qualified Company Secretary (Member of ICSI).
Experience in listed company compliance (preferred).
Strong understanding of corporate laws, SEBI regulations, and governance practices.
Excellent drafting, communication, and coordination skills.
Ability to work independently in a fast-paced EPC project environment.
