Job Description

We are seeking a

Company Secretary

with a strong understanding of corporate laws, governance, and RBI/NBFC compliance frameworks. The ideal candidate will ensure legal and regulatory compliance, manage board processes, and act as a vital link between the management and Board of Directors.

In-depth understanding of

corporate laws

and

corporate governance practices

. Strong

drafting, communication, and interpersonal skills

. Ability to handle

multiple stakeholders and deadlines

efficiently. High level of

integrity, discretion, and professionalism

Roles and Responsibilities:



Ensure compliance with the

Companies Act

, corporate laws, and other statutory requirements. Monitor and interpret updates in

RBI circulars

,

NBFC Master Directions

, and

Companies Act

; advise management accordingly. Handle

RBI filings

, including monthly returns, quarterly NBS reports, FPC filings, and other statutory submissions. Maintain statutory registers such as

members, directors, and secretaries

. Draft and review

company policies, shareholder agreements, and board resolutions

. Coordinate

internal and external audits

related to secretarial and compliance functions. Support in

corporate restructuring

, capital infusion, share transfers, or changes in management/shareholding. Ensure timely submission of

annual reports and other regulatory filings

.

Skills and Experience:



Educational Qualifications:



Bachelor's or Master's degree in

Finance, Economics, or Business

. Additional certifications such as

MBA, CFA, or FRM

preferred.

Technical Skills:



Experience with

Loan Origination Systems (LOS)

and

Loan Management Systems (LMS)

. Familiarity with

credit risk models

and

data analytics tools

.

Regulatory & Compliance Expertise:



Strong knowledge of

RBI guidelines

,

NBFC norms

, and

lending-related regulations

. Proven experience in

compliance functions

within a regulated financial setup.

Work Experience:



Minimum

2 years of experience

in an

NBFC or banking environment

, focusing on compliance and credit operations.

Soft Skills:



Excellent

verbal and written communication

abilities. High

attention to detail

and ability to

manage multiple priorities

.

Good to Have:



Exposure to

debt listing procedures

and

related compliance documentation

.

Pay: ₹1,000,000.00 - ₹1,500,000.00 per year
