The Company Secretary will oversee all corporate secretarial, legal, and compliance functions for the co-working business. The role involves ensuring adherence to the Companies Act, 2013, and other applicable laws, managing board activities, handling corporate governance, and supporting legal documentation related to leases, licenses, partnerships, and investor relations.
The ideal candidate will bring strong compliance discipline along with practical business understanding of the real estate / co-working sector.
Key Responsibilities:
Ensure compliance with the Companies Act, 2013, and all applicable legal and regulatory requirements.
Prepare and file ROC returns, forms, disclosures, and maintain statutory registers and company records.
Manage compliance for multiple entities, including subsidiaries and LLPs.
Organize Board, Committee, and General Meetings, draft agendas, minutes, and resolutions.
Advise the Board on corporate governance, compliance frameworks, and policy matters.
Draft, review, and vet lease agreements, vendor contracts, and partnership MoUs.
Liaise with legal counsel for due diligence, documentation, and dispute resolution.
Support property-related transactions, licenses, and ensure legal due diligence for new centers.
Coordinate with Finance, HR, and Operations on compliance, audits, and investor-related activities.
Monitor adherence to FEMA, RERA, labour, and data protection laws, ensuring strong governance practices.
Qualifications & Experience:
Qualified Company Secretary.
Bachelor's or master's degree in law / commerce / finance preferred.
Minimum 1-2 years of post-qualification experience, preferably in real estate, leasing, or co-working sectors.
In-depth understanding of Companies Act, FEMA, RERA, and commercial contract management.
Strong drafting, communication, and analytical skills.
