This Role is responsible for overseeing the legal affairs and corporate governance of the company. This role ensures regulatory compliance, manages risks, compliance with secretarial standards and supports the board of directors in fulfilling their governance responsibilities. The individual in this role acts as the key liaison between the board, shareholders, and regulatory authorities.
Responsibilities:
Corporate Governance
:
Ensuring the company complies with legal and regulatory requirements.
Advising the board on corporate governance issues and best practices, legal responsibilities and compliance requirements.
Organizing and preparing board meetings and AGMs (Annual General Meetings).

Legal and regulatory compliance
:
Monitoring changes in relevant legislation and regulatory environment and keep the company updated with changes in the Companies Act, 2013, and other relevant laws and regulations, ensuring compliance.
Ensuring the company complies with all applicable laws and regulations. Implement and comply with Secretarial Standards issued by the Institute of Company Secretaries of India (ICSI).
Filing necessary documents and returns with regulatory bodies (e.g., MCA/RBI).

Communication and Record-Keeping
:
Maintaining statutory books, including registers of members and directors, charges and other necessary records.
Handling correspondence and communication with shareholders and regulatory authorities.
Keeping updated and accurate records of all company activities, decisions and resolutions.
Ensure safe custody of the company legal documents, including the certificate of incorporation, memorandum and articles of association and company seal.

Corporate Secretarial Duties
:
Drafting resolutions, minutes of meetings, and other legal documents.
Advising on company law matters and corporate transactions.
Managing share issuances, transfers, and dividend payments.
Corporate Transactions: Legal Documentation:
Prepare and review legal documents related to corporate transactions such as mergers, acquisitions, joint ventures, and restructuring.
Due Diligence:
Conduct due diligence and ensure compliance with legal requirements in all corporate transactions.
Qualifications and skill-sets:
1. A degree in law, commerce, or a related field; membership with the Institute of Company Secretaries of India (ICSI) is mandatory.
2. Relevant experience of at least 1 or 2 years in company secretarial practice or corporate governance, strong understanding of the Companies Act, 2013, SEBI regulations, FEMA, RBI and other relevant laws and regulatory requirements.
3. Strong analytical and problem-solving skills, with exceptional attention to detail and accuracy, time management, coordination skills and strong written and verbal communication skills.
4. Ability to manage multiple tasks and deadlines effectively
5. Strong sense of integrity and professionalism and ethical judgment in all dealings.
