We are looking for a qualified and detail-oriented Company Secretary to oversee corporate governance, regulatory compliance, and legal formalities. The ideal candidate will ensure that the company operates within the framework of applicable laws and supports the Board of Directors in their strategic and compliance-related functions.
You will play a key role in managing statutory filings, organizing board meetings, maintaining company records, and handling end-to-end compliance, including new company registrations, IPO-related processes, and NRI regulatory matters.
Key Responsibilities:
Ensure compliance with statutory laws and regulatory requirements (e.g., Companies Act, SEBI regulations, FEMA, etc.)
Handle new company registrations, incorporations, and related documentation
Provide assistance in IPO-related compliance, due diligence, and regulatory filings
Manage NRI-related company compliance, including FEMA guidelines and investment approvals
Maintain and update statutory registers, company records, and documentation
Prepare and circulate board meeting agendas, notices, resolutions, and minutes
File necessary forms, returns, and reports with the Registrar of Companies (ROC), SEBI, RBI, and other authorities
Advise the Board on legal obligations, corporate governance, and risk mitigation strategies
Draft and review contracts, legal notices, agreements, and policy documents
Liaise with external regulators, legal advisors, auditors, and other stakeholders
Maintain strict confidentiality of corporate and legal information
Monitor compliance deadlines and manage company's legal calendar efficiently
Requirements:
Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI)
5+ years of relevant experience in corporate compliance, governance, and legal advisory
Thorough knowledge of the Companies Act, SEBI regulations, FEMA, and allied laws
Proficient in MS Office, the MCA portal, and compliance software/tools
Strong drafting, communication, and interpersonal skills
High level of integrity, discretion, and attention to detail
Preferred:
Experience working in a listed company or with legal and compliance departments
Exposure to IPO process, NRI investments, and international compliance matters
* Familiarity with other laws such as labour laws, taxation laws, and environmental regulations
