Job Description

Job Specification & Experience : The Company Secretary is responsible for ensuring that the company complies with all statutory and regulatory requirements. The role involves Managing Corporate Governance, Legal Documentation, And Facilitating Communication Between The Board Of Directors, Shareholders, And Regulatory Bodies. Age: Preferred age group 25 to 40 years.

1. Preparing and finalizing Notice, Agenda and Minutes of Meeting along with other Board papers for Board Meeting and Annual General Meetings.

2. Preparing and finalizing Annual Reports for all Group Concern.

3. Maintenance of all Statutory Registers in accordance with the Companies Act 2013.

4. Taking all necessary disclosures from Directors and Shareholders of the Companies as per Companies act 2013.

5. Preparing and filing various ROC forms along with required attachments.

6. Handling compliances all private limited as per the Companies Act.

7. Ensuring required information is given by Directors / Shareholders of the Private Limited Companies for investments made in Public Limited Companies.

8. Ensuring the compliance of procedural formalities for change of name, change of object, increase in authorized capital and change in registered office.

9. Drafting of changes in the Memorandum and Articles of Associations.

10. Appearing in the Company Law Board, / ROC / Criminal Court for all Companies act matters of the Group Concerns.

11. Ensuring that all compliances are made with regards to inter group transactions under the provisions of the Companies Act.

12. Appointment and resignations of Directors and ensuring proper filling of ROC is done. 13. Drafting of all documents and resolutions required.

Labour Law Matters : Interacting with Labor Lawyer for the following :



Compliance of PF matters. Ensuring of timely issuance of appointment letters, confirmation letters, charge sheets memos to the staffs mainly to drivers, helpers cleaners. Ensuring all matters of Assistant Labour Commissioner (ALC) are compiled with
