The candidate should have a strong understanding of company law, legal frameworks, and infrastructure-related contracts.
Key Responsibilities: As Company Secretary:
Ensure compliance with the
Companies Act, 2013

RERA

Contract Labour Regulation Act
, and other applicable infrastructure-related regulations.
Maintain statutory registers, records, and secretarial files for the company.
Draft, review, and file
Board Resolutions
,
MoM
,
Annual Reports
, and
ROC filings
.
Convene and manage
Board Meetings
,
AGMs
, and
EGMs
, and ensure proper documentation.
Coordinate with auditors, legal advisors, and government authorities.
Draft and review contracts, construction agreements, MoUs, NDAs, and other legal documents.
Keep management updated on legal and regulatory changes affecting the construction business.
Maintain high standards of
corporate governance
and
compliance reporting

As Legal Manager:

Draft, review, and negotiate contracts related to EPC, HAM, BOT, and subcontracting models.
Manage legal documentation for land acquisition, right of way (RoW), and government approvals.
Provide legal support for tender submissions and project agreements with NHAI, MoRTH, and state agencies.
Handle litigation, arbitration, and dispute resolution with contractors, vendors, or regulatory bodies.
Ensure company compliance with applicable laws and regulations (labor laws, environmental laws, contract act, etc.).
Coordinate with external legal counsel for ongoing and potential litigation.
Advise management on legal risks and strategies to minimize exposure.
Maintain records of legal documents, court cases, and compliance certifications.

Regularly update management on legal developments impacting the road construction sector.
Requirements:
Company Secretary (CS)
, graduate from
National Law University
(preferred).
Minimum 4 years of experience in legal and secretarial compliance (infrastructure/road construction industry preferred).
Strong understanding of company law, infrastructure contracts, and corporate governance.
Familiar with
MCA21 portal
, e-filing systems, and labour law compliance.
Excellent communication, drafting, and negotiation skills.
