I. Role Objective
To serve as the Head Secretarial and Legal, responsible for overseeing Corporate Governance, ensuring statutory compliance, managing the company's legal portfolio including litigation, IPR Management and Insurance Portfolio Management, Recovery of Dues, and acting as the vital link between the Board, management, and external stakeholders.
II. Core Duties,
A. Secretarial & Governance
Compliance & Filings: Ensure 100% compliance with the Companies Act, 2013, Secretarial Standards (SS), and other regulatory frameworks applicable to an Unlisted Public Company and its wholly owned subsidiary. Handle all statutory filings with the ROC (e-forms, annual returns, resolutions). Should have exposure of key activities like Rights issue, Alteration of MOA AOA etc.
Board Management: Facilitate the efficient conduct of Board, Committee, and General Meetings. Draft and distribute Notices, Agendas, Minutes, and manage the statutory records/registers.
Ensuring best corporate governance practices.
B. Legal & Contracts Management
Contract Drafting & Vetting: Lead the drafting, review and finalization of all commercial contracts (e.g., vendor agreements, service contracts, NDA etc), ensuring legal enforceability and risk mitigation.
Litigation Management: Oversee all legal cases in High Courts, Lower Courts, Tribunals, and Arbitration proceedings. Liaise with external counsel, strategize case defence, and prepare necessary notes for lawyers and legal documentation.
Legal Notices: Draft, issue, and respond to all formal legal notices and communications on behalf of the Company.
C. Allied Portfolio,
Intellectual Property (IPR): Manage the company's complete IPR portfolio (Trademarks, Copyrights, and Patents). Oversee filing, prosecution, maintenance, and enforcement of IP rights to protect company assets.
Insurance Portfolio: Manage and optimize the company's Insurance Portfolio. Ensure adequate coverage and manage claims documentation and processing.

Ability to integrate secretarial compliance, legal risk, and business strategy.
Strong drafting, negotiation, and ability to communicate complex legal issues clearly to the non-legal Board and Management Team
Sound commercial and legal judgment with a high sense of professional ethics and confidentiality
