We are having an urgent requirement for the position of "Company Secretary" for a well reputed Company based in Taratala Road , Rampur , Kolkata.... Position - Company Secretary Experience - 3 years to 6 years Location - P-65, Taratala Rd, Rampur, Santoshpur, Kolkata, West Bengal 700088 Salary - upto 10 lpa for the position of Company Secretary....... 1. Maintaining statutory records and ensuring all compliances with secretarial provisions as per Companies Act 2013 and SEBI and RBI Regulatory by filing forms and Submission of returns as per rules and regulations in the respective domains 2. Liaison with regulatory authorities and external agencies: MCA, RBI, SEBI, ROC, RTA, Depository Participants such as NSDL and CDSL, Practicing Professional such as PCS, PCA, and Lawyers. 3. Annual Returns of MCA: AOC-4 (CFS and XBRL), MGT-7, DIR-3, BEN Forms, DPT Forms, PAS-6 Form, PAS-3 Form, PAS-4 etc. 4. Conducting Meetings:Board Meeting, Annual General Meeting, Extraordinary Meeting, Committee Meetings, Filing of MGT-14 5. Appointment/Resignation/ Change of Designation of Directors 6. Filing and Creation/satisfaction/modification of Charge Documents 7. Appointment of Internal/Statutory Auditor of the Company 8. Shares and Debenture Compliance 9. RBI FCTRS Filing 10. Preparation and Maintenance of: Statutory Registers, Annual Disclosures and Changes in: MBP-1, DIR-8 etc. Share Certificate 11. Conversion of public to private or LLP 12. Preparation of Documents relating to Merger and amalgamation 13. Working knowledge in a listed company and experience of handling IPO is a plus14. One point contact and building relations with shareholders Job Type: Full-time Salary: 940,000.00 - 980,000.00 per month Schedule:
