Semi qualified Company secretary with training/work experience
Job responsibilities:
Incorporation of new companies and LLPs
Assisting clients in fund raising activities by way documentation for Preferential issue, Private placement, Rights issue, Convertible notes.
Practical knowledge in FEMA and RBI Compliances.
To handle all annual compliances and event based compliances like Name change, object change, change in directorship, shifting of registered office, increase in authorised capital, transfer of shares, compliances for appointment, resignation and removal of Auditor, variation of shareholders rights, compliances relating to employee stock option, buyback of shares.
Understanding corporate compliances as may be applicable to the client companies.
Preparation of meeting related documents and convening of Board meetings and Annual general meetings of client companies including foreign companies.
Updating / renewing all regulatory documents of the client companies including statutory registers, returns, registrations, licenses, certificates etc. and filling up applications, forms and uploading / downloading of documents required for the same.
Assisting the team in providing required documents for various purposes including taxation requirements.
Assisting in audits including internal audits.
Maintaining and updating trackers as maintained by clients or internally and ensuring data integrity and confidentiality of internal and client information.
To provide administrative and regulatory support to Client Services Team as well as COSEC team as and when required.o Handling compliances related to holding and its subsidiary companies.
Liasion:
Coordination with Statutory bodies like Registrar of Companies, Official Liquidator, Regional Director, Ministry of Corporate Affairs, Reserve Bank of India & other Statutory Authorities and with Authorised Dealer bankers
