Company Secretary

to manage all secretarial and corporate compliance responsibilities at a managerial level.

Key Responsibilities:



Ensuring compliance with the PIT Regulations, Companies Act, 2013, LLP act and all other applicable statutory and regulatory requirements. Manage all secretarial responsibilities including preparation of Board and Committee meeting agendas, minutes, Annual reports and statutory registers. Handle all ROC filings and forms through MCA portal in a timely and compliant manner. Draft and review legal documents including board resolutions, shareholder agreements, MOA, AOA, and internal policies. Ensure timely and accurate compliance with RBI regulations, especially in matters related to NBFC compliance, and foreign remittances. Coordinate with regulatory authorities including the Ministry of Corporate Affairs, SEBI, and the Reserve Bank of India for filings, clarifications, and approvals. Maintain documentation and compliance related to share capital structuring and other corporate actions. Liaise with external legal advisors, auditors, consultants, and financial institutions as and when required. Act as a governance advisor to the management and contribute to internal control and risk mitigation initiatives.

Key Requirements:



Qualified Company Secretary (ICSI) with 4-7 years of post-qualification experience in a similar role. Strong understanding of Companies Act, SEBI regulations, RBI guidelines and FEMA Regulations. Proven experience in handling compliance for group companies or complex corporate structures. Excellent legal drafting, communication, and interpersonal skills. Highly organized with attention to detail and a proactive approach to problem-solving. Comfortable working in a dynamic, fast-paced environment with minimal supervision.

Pay: ?700,000.00 - ?1,000,000.00 per year
