We are looking for a qualified and dynamic Company Secretary (CS) with 1-3 years of post-qualification experience to join our team. The ideal candidate should have sound knowledge of corporate laws, regulatory compliance, and corporate governance practices.
Key Responsibilities:
oEnsure compliance with the provisions of the Companies Act, 2013, SEBI Rules & Regulations and other applicable laws.
oPrepare and maintain statutory registers, records, and filings with MCA/ROC.
oDraft, review, and file board resolutions, minutes of meetings, notices, and agendas.
oAssist in convening and conducting Board Meetings, General Meetings, and Committee Meetings.
oHandle corporate governance and secretarial standards compliance.
oFile necessary e-forms with MCA within prescribed timelines.
oLiaise with regulators, auditors, and other stakeholders.
oSupport in drafting corporate policies, agreements, and other legal documentation.
oAssist in due diligence, mergers & acquisitions, and other corporate restructuring activities (if required).
oExperience with a listed company will be given preference.
Qualifications & Skills:
oQualified Company Secretary (Member of ICSI).
o1-3 years of relevant corporate secretarial experience.
oStrong understanding of Companies Act, 2013, SEBI regulations, FEMA, and other corporate laws.
oExcellent drafting, communication, and presentation skills.
oProficiency in MCA portal filings and compliance tools.
oAbility to work independently with attention to detail and accuracy.
