Position Overview:
We are seeking a
qualified Company Secretary
with 2-3 years of post-qualification experience in a
CA/CS firm
. The ideal candidate should have hands-on experience in corporate compliance, company incorporation, drafting of legal documents, and post-incorporation compliances. The role requires a proactive, detail-oriented professional who can ensure all statutory and regulatory requirements are met under the Companies Act, 2013, and other applicable laws.
Key Responsibilities:
Ensure compliance with all statutory and regulatory requirements under the
Companies Act, 2013
.
Handle
FEMA compliances
and related documentation.
Prepare and file all
preliminary and post-incorporation documents
and forms with the Registrar of Companies (ROC).
Complete all
post-incorporation compliances
, including:
o Appointment of auditors
o Opening of bank accounts
o Filing of declaration of commencement of business
o Issuance and stamping of share certificates
o Conducting and documenting the
first Board Meeting
Incorporate
LLPs through FiLLiP Form
and handle related filings.
Draft and review the following documents:
o
Memorandum of Association (MOA)
o
Partnership Agreements
o
LLP Agreements
o
Schemes of Arrangement
o
Applications under Section 252(3)
o
Compounding Applications
Manage applications and registrations, including:
o
Import & Export License (IEC)
o
Startup India Registration
o
FSSAI Registration/License
o
MSME Registration
o Trademark Registration
Qualifications:
Qualified Company Secretary (CS)
2-3 years post-qualification experience
specifically in a
CA/CS firm
Strong understanding of
Companies Act, 2013
,
LLP Act
, and
FEMA regulations
