Key Responsibilities:
Compliance Management:
Ensure the company complies with all legal and regulatory requirements.
Handle statutory filings under the Companies Act, 2013, and other relevant laws.
Maintain statutory registers and ensure accurate records are kept for audits.
Corporate Governance:
Advise the Board of Directors on governance practices and compliance matters.
Prepare and review board meeting agendas, notices, and minutes.
Organize and conduct Annual General Meetings (AGMs), Extra-Ordinary General Meetings (EGMs), and board meetings.
Regulatory Liaison:
Act as the primary liaison between the company and regulatory authorities such as the Registrar of Companies (RoC).
Ensure timely submissions of compliance documents, including annual returns, financial statements, and other regulatory forms.
Legal Documentation:
Assist in drafting and reviewing legal contracts, agreements, and corporate documents.
Ensure that all legal formalities for mergers, acquisitions, and other corporate transactions are followed.
Advisory Role:
Advise management on legal implications of corporate decisions and transactions.
Monitor changes in corporate law and ensure the organization stays compliant.
Corporate Secretarial Services:
Manage and oversee the corporate governance and secretarial functions of the organization.
Ensure the implementation of corporate governance standards, codes of conduct, and best practices.
Risk Management and Corporate Strategy:
Provide risk analysis and strategic advice on corporate governance, regulatory risks, and opportunities.
Required Qualifications:
Education:
Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
Additional qualifications like LLB or MBA (preferred).
Experience:
1-3 years of post-qualification experience in a similar role, ideally in a corporate or law firm environment.
Hands-on experience with company secretarial tasks, legal compliance, and governance.
Skills & Competencies:
In-depth knowledge of the Companies Act, 2013, and corporate governance standards.
Proficiency in handling statutory compliance and regulatory filings.
Strong communication, drafting, and organizational skills.
Proficient in MS Office, compliance management tools, and legal documentation.
