Job Description

We are seeking a highly skilled and experienced Company Secretary to join our manufacturing company. The ideal candidate will be responsible for ensuring statutory compliances, managing SEBI regulations, handling FEMA guidelines, organizing shareholders meetings, overseeing ROC compliances, performing legal work, and facilitating effective liaison with regulatory authorities.
Responsibilities:
Ensure timely compliance with all statutory requirements under the Companies Act and other relevant laws.
Manage and monitor compliance with SEBI regulations and guidelines applicable to the company.
Handle Foreign Exchange Management Act (FEMA) regulations and coordinate related approvals and reporting.
Organize and coordinate shareholders' meetings, board meetings, and ensure proper documentation and minutes.
Maintain and file necessary returns and documents with the Registrar of Companies (ROC) as per prescribed timelines.
Provide legal advice on corporate governance, regulatory requirements, and other legal matters.
Establish and maintain liaison with government authorities, regulatory bodies, and stakeholders.
Prepare and maintain statutory records and registers as required by law.
Assist in drafting and vetting contracts, agreements, and other legal documents.
Stay updated with changes in relevant laws and regulations and communicate their impact to the management.
Qualifications:
Qualified Company Secretary (CS) with membership from the Institute of Company Secretaries of India (ICSI).
Bachelor's degree in Commerce, Law, or related field preferred.
Proven experience in a similar role within a manufacturing or corporate environment.
Strong knowledge of Companies Act, SEBI Regulations, FEMA, ROC compliances, and corporate governance standards.
Skills:
Excellent understanding of statutory and regulatory compliances.
Strong legal acumen and ability to interpret complex regulations.
Effective communication and interpersonal skills for liaising with authorities and stakeholders.
Organizational skills to manage multiple compliance deadlines and meetings.
Attention to detail and accuracy in documentation and reporting.
Ability to work independently and as part of a team.
Proficient in using compliance management software and Microsoft Office Suite.
