ROLES AND RESPONSIBILITES -
1. Handling quarterly, half-yearly and annual compliances under Companies Act & SEBI Regulations.
2. Convening Board, Committee and General meetings and preparing documents in this regard including Notice & Agenda, Minutes, Attendance Registers and other necessary papers.
3. Preparation and finalization of Board's Report, Annual Report and Annual Returns of the Company.
4. Convening Annual General Meeting including preparation of pre and post meeting documents and carrying out required NSE and ROC filings.
5. Execution of Employee Stock Option Plan (ESOP)
6. Ensuring compliances under Companies Act, 2013 with respect to group companies.
7. Acting as a point of contact for shareholders, RTA, consultants and other stakeholders.
8. Advising and assisting board to ensure good corporate governance practices.
9. Ensuring compliances under PIT regulations.
10. Liaise with regulatory authorities to carry out necessary compliances.
11. Maintenance of statutory registers and records.
12. Drafting and vetting of various commercial agreements.
