procedures. The ideal candidate will play a key role in ensuring the company complies with legal and regulatory requirements, supports the board in corporate governance matters, and oversees the company's AML obligations.
Key Responsibilities:1. Company Formation & Corporate Governance
Handle incorporation of companies, LLPs, and related corporate structures.
Maintain and update statutory registers, minutes of board/shareholder meetings.
Draft and file resolutions, MOA/AOA amendments, and other ROC filings.
Support in restructuring, share transfers, director appointments/removals, and other corporate changes.
2. Compliance & Regulatory Reporting
Ensure timely filing of returns with Registrar of Companies (RoC), RBI, and other regulatory bodies.
Track and implement changes in corporate and regulatory laws (e.g., Companies Act, FEMA, SEBI regulations).
Liaise with regulators and manage correspondence with legal authorities.
3. Anti-Money Laundering (AML)
Implement and monitor AML policies and internal control procedures in line with legal obligations.
Conduct periodic KYC (Know Your Customer) and Due Diligence reviews for clients, partners, and vendors.
Prepare and submit Suspicious Transaction Reports (STRs) and Currency Transaction Reports (CTRs) as needed.
Conduct internal AML audits and risk assessments.
4. Advisory & Stakeholder Communication
Provide guidance to senior management and clients on corporate legal requirements.
Support internal teams on cross-border transactions and compliance risks.
Coordinate with external legal counsel, auditors, and regulatory authorities.
Qualifications & Skills:
Qualified
Company Secretary (CS)
from ICSI.
Additional certifications in
AML/KYC/Compliance
will be an advantage.
2 to 5 years of relevant post-qualification experience.
Strong knowledge of
Companies Act, 2013
,
FEMA
,
SEBI regulations
, and
AML laws
.
Proficient in MCA portal filings, compliance software/tools, and MS Office Suite.
Excellent communication, organizational, and analytical skills.
Ability to work independently and manage multiple deadlines.
