The Company Secretary (CS) ensures the organization's compliance with statutory and regulatory requirements, manages corporate governance processes, and acts as a key advisor to the Board of Directors on legal and secretarial matters.
Key Responsibilities
- Ensure compliance with Companies Act, 2013 and applicable SEBI regulations (if any).
- Manage board meetings, committee meetings, and general meetings, including preparing agendas, notices, and minutes.
- Maintain statutory registers, records, and filings with MCA/ROC.
- Prepare and file annual returns, financial statements, and event-based compliances (DIR-12, MGT-14, SH-7, PAS-3, etc.).
- Draft and vet legal documents, resolutions, MoUs, and agreements.
- Act as the primary point of contact with regulatory authorities (ROC, MCA, SEBI, NSE/BSE if applicable).
- Handle share allotment, transfer, transmission, and related secretarial processes.
- Advise management on corporate governance, statutory obligations, and risk management.
- Assist in CSR compliance, if applicable.
- Support internal audits and liaise with external auditors.
- Ensure timely compliance with FEMA/RBI filings (if applicable).
Required Qualifications & Skills
- Qualified Company Secretary (ICSI).
- Strong knowledge of Companies Act, SEBI regulations, corporate governance, and compliance frameworks.
- Excellent drafting, communication, and analytical skills.
- Proficiency in MCA V3 portal and compliance management tools.
- Ability to handle confidential information and interact with senior management.
