Job Description

Position Title: Company Secretary



Department: Legal & Compliance



Location:

Noida Sector 62

Salary:- 7 LPA



Exp:- 4-5 YEars



Key Responsibilities:



Statutory Compliance:


- Ensure timely compliance with the provisions of the Companies Act, 2013 and related rules.
- Organize and conduct Board Meetings, Annual General Meetings (AGM), and Extraordinary General Meetings (EGM), including drafting agendas, notices, resolutions, and minutes.

Minutes & Records Maintenance:


- Maintain and update statutory registers and records.
- Prepare and maintain accurate minutes of Board, AGM, and EGM meetings.

Contract & Agreement Management:


- Review, vet, and finalize various contracts, agreements, and MoUs.
- Coordinate and liaise between legal consultants and business vendors for agreement finalization.
- Ensure legal and regulatory compliance in all contracts and commercial arrangements.

Regulatory Compliance:


- Ensure adherence to RBI, SEBI, and NBFC regulations and file necessary returns, applications, and reports within prescribed timelines.
- Provide RBI-related information, applications, and monthly/periodic reports as required.
- Oversee compliance under the PoSH Act.

Audit & Reporting:


- Review Concurrent Audit Reports, discuss observations, and provide appropriate feedback for resolution.

Corporate Governance:


- Assist in maintaining effective corporate governance practices within the organization.

Banking & Financial Operations:


- Liaise with bank officials for account opening, closure, and other operational matters.
- Prepare necessary documentation for banking operations.

Business Partner Management:


- Act as a point of coordination with business partners and vendors until the agreement execution stage.

- Prepare and review Standard Operating Procedures (SOPs) for business partners.

Other Duties:


- Execute any other responsibilities or assignments as instructed by the Head of Department (HOD) or Management.

Key Skills & Competencies:



Strong understanding of corporate laws, RBI/SEBI/NBFC regulations, and corporate governance.

Excellent drafting, communication, and negotiation skills.

Ability to handle multiple regulatory compliances simultaneously.

Good interpersonal skills for liaison with internal and external stakeholders.

Proficient in MS Office and company secretarial software tools.

Qualifications & Experience:



Qualified Company Secretary (ACS), preferably with additional legal qualifications (LLB will be an advantage).
