Role Overview
The Compliance Officer cum Company Secretary will be responsible for ensuring full compliance with the
Companies Act, 2013
,
SEBI (LODR) Regulations applicable to SME listed entities
, and all statutory, ROC/MCA, and BSE-SME platform compliances of Chemkart India Limited (CIL) and its group subsidiaries. The role will also involve strengthening corporate governance practices, timely disclosures, and serving as a Key Managerial Personnel (KMP) under Section 203 of the Companies Act, 2013.
Key Responsibilities
A. Companies Act / ROC Compliance
Ensure compliance with
Companies Act, 2013
and rules thereunder.
Prepare and file statutory ROC/MCA returns:
etc.
Maintain statutory registers, records, and disclosures.
Draft and circulate agenda, notices, and minutes of
Board Meetings, Committee Meetings, and AGM
(minimum 4 Board Meetings annually).
Liaise with auditors, regulators, and legal advisors.
B. Listed Company & BSE-SME Compliance
Act as
Compliance Officer
under SEBI (LODR) Regulations.
Oversee quarterly, half-yearly, and annual BSE-SME filings including:
Compliance Report on Corporate Governance, Investor Grievance Redressal, Financial Results, Related Party Transactions, Deviation Statements.
Shareholding Pattern, Reconciliation of Share Capital Audit, PAS-6.
Board Meeting intimations/outcomes, Window closure notices.
Annual disclosures: Annual Report, Promoter Holding, Insider Trading, Code of Conduct affirmation, CEO/CFO certifications, Non-disqualification of Directors, SDD compliance.
Ensure adherence to
SEBI (PIT) Regulations
- insider trading compliance, structured digital database (SDD), and monitoring of trading window.
Handle investor correspondence, corporate announcements, and stock exchange queries.
C. Group Compliance Oversight
Monitor compliance of group subsidiaries
Easy Raw Materials Pvt. Ltd.
and
Vinstar Biotech Pvt. Ltd.
Maintain a
group compliance calendar
to ensure timely reporting across all entities.
Advise on new regulatory developments impacting the group.
D. Governance & Risk Management
Strengthen
corporate governance practices
in line with SME platform requirements.
Draft and implement internal compliance policies and frameworks.
Conduct compliance reviews and present findings to the Board.
Custodian of corporate legal documents and statutory records.
Qualifications & Skills
Qualified Company Secretary (ACS/FCS)
with valid ICSI membership.
1-2 years of post-qualification experience
, preferably in a BSE/NSE SME listed or IPO-bound company.
Fresher can also apply.
Strong knowledge of:
Companies Act, 2013
and MCA/ROC compliances.
SEBI (LODR), PIT, ICDR Regulations
applicable to SME segment.
SME Exchange-specific compliance requirements.
Excellent drafting, communication, and
coordination skills with regulators, auditors, and stakeholders
.
Proactive, detail-oriented, and capable of managing compliance across multiple group entities.
