Roles & Responsibilities: - Maintaining statutory registers and records pertaining to Secretarial Works - Liaising with registrar of companies - Maintaining shareholders details and communication with them - Conducting board meetings, AGMs etc - Minutes preparation and circulating among board of directors - Drafting resolutions - E-filing of annual return \xe2\x80\x93 Secretarial \xe2\x80\x93 As per Companies Act 2013 - Updating the management with regard to changes brought in various applicable legislations and do the compliances as specified in Companies Act 2013 - All other Secretarial / Companies Act Compliance related work. - Auditing of Compliance of Statutes including PF, ESIC, GST, TDS Etc. Ensuring Statutory Payments are made well in time (Much earlier than the due date). - All Legal Matters pertaining to the Company. Secretarial Works - Drafting letters for Statutory / Legal purposes etc. - Preparation & Filing of E Forms with MCA - Preparation of Annual Returns, XBRL Filings and necessary documentation. - Liaison with ROC, Ministry of Company Affairs, Stock Exchanges, Stock Transfer Agent and other Govt Regulatory bodies. - Disclosures under Listing Agreement, SEBI (SAST) Regulations, Insider Trading Regulations. - Coordinating with RTA & Dividend Bankers to address the unpaid dividend claims of Shareholders (if any) - Any other work as required by the Management from time to time.
