The Company Secretary is responsible for ensuring that the company complies with legal, regulatory, and corporate governance requirements. As a key link between the board of directors, management, shareholders, and regulatory authorities, the CS plays a vital role in ensuring transparency and effective corporate governance practices.
Key Responsibilities:
1.Ensure compliance with Companies Act, SEBI regulations, FEMA, and other applicable laws.
2.Draft and file statutory returns and documents with the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and other regulatory bodies.
3.Coordinate with internal and external stakeholders, including auditors, consultants, and legal advisors.
4.Prepare audit reports and follow up on corrective actions.
