Ensure compliance with Companies Act, FEMA guidelines, SEBI listing
requirements, and other relevant regulations.
Monitor changes in regulatory requirements and update company policies and
procedures accordingly.
Liaise with regulatory authorities and ensure timely submission of documents and
reports.
2. IPO Preparation:
Assist in the preparation and filing of the draft prospectus and other necessary
documents for the SME IPO.
Coordinate with legal advisors, auditors, and other stakeholders to ensure a smooth
IPO process.
Ensure compliance with SEBI (ICDR) Regulations and other statutory requirements.
3. Corporate Governance:
Organize and manage Board Meetings, Shareholders Meeting and Committee
Meeting including preparing agendas, compiling board packs, and circulating them
to directors.
Draft and review board, Shareholders resolutions, minutes, and other corporate
documents.
Maintain statutory registers, records, and filings with the Ministry of Corporate
Affairs (MCA) and Registrar of Companies (RoC).
4. Documentation & Reporting:
Draft and vet agreements, contracts, and other legal documents.
Prepare and submit periodic reports to regulatory authorities and stakeholders.
Maintain accurate and up-to-date records of all compliance-related activities.
5. Stakeholder Management:
Act as a liaison between the company, board of directors, shareholders, and
regulatory authorities.
Provide guidance and support to the management team on legal and regulatory
matters.
Ensure effective communication and coordination with internal and external
stakeholders.
Educational Qualifications
:
Qualified or Semi-Qualified Company Secretary (with at least one group cleared in CS
Professional exams) with 1-2 years of post-qualification experience (PQE).
Candidates with an LLB degree and/or prior experience in handling post-listing requirements
will have an added advantage.
Skills Required:
Well-versed in the Companies Act, SEBI (LODR), SEBI (ICDR), and FEMA guidelines.
In-depth knowledge of FEMA guidelines, SEBI listing requirements, and other relevant
regulations.
Strong drafting and communication skills.
