2. Regulatory & SEBI Compliance
Act as the
Compliance Officer
under SEBI AIF Regulations, ensuring all reporting and disclosures are made within prescribed timelines.
Handle
SEBI correspondence, inspections, and periodic filings
, including Form A, compliance reports, and investor disclosures.
Maintain and update the
compliance manual
covering AIF operations, investment processes, valuation, and investor communications.
Liaise with
trustees, custodians, auditors, and SEBI officials
on compliance and governance matters.
3. Legal & Documentation
Review, draft, and negotiate
fund documents
,
placement memorandums
,
term sheets
,
subscription agreements
, and
transactional documents
.
Support deal execution and due diligence for investment banking mandates and fund investments.
Coordinate with legal counsel for structuring, documentation, and regulatory interpretations.
Maintain a repository of all
legal contracts, NDAs, and regulatory correspondence
.
4. Investor Relations & Reporting
Oversee investor onboarding, KYC/AML verification, and capital call documentation.
Ensure accuracy and timeliness of
quarterly investor reports
,
valuation summaries
, and
financial disclosures
.
Assist in preparation and filing of
AIF compliance reports
,
annual filings
, and
investor grievance redressal
documentation.
5. Risk & Internal Controls
Establish internal control systems to monitor compliance across all business functions.
Conduct regular compliance reviews and report findings to the
Board / Audit Committee
.
Track regulatory updates, circulars, and amendments impacting AIFs, investment advisers, and merchant banking activities.
Qualifications & Experience
Education:
Qualified
Company Secretary (ACS)
from the
Institute of Company Secretaries of India (ICSI)
- mandatory.
Additional qualifications such as
LLB
or
CA/MBA (Finance)
preferred.
Experience:
2-3 years
of relevant experience
In-depth understanding of
Companies Act
,
FEMA
,
SEBI
and
RBI
compliance frameworks.
