Job Description

The Company Secretary will play a key role in ensuring the company complies with statutory and regulatory requirements, maintains high standards of corporate governance, and supports the Board of Directors and senior management with effective administrative and legal advice. This role requires a detail-oriented, ethical professional with strong knowledge of corporate laws, governance practices, and business operations.

Key Responsibilities:



Regulatory Compliance

:

Ensure the company complies with applicable laws, rules, and regulations, including the Companies Act and industry-specific regulations.

Board Support

:

Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs); take minutes; and ensure follow-up actions are completed.

Corporate Governance

:

Advise the board on corporate governance best practices and ensure that policies and practices are implemented accordingly.

Filing and Documentation

:

Manage statutory books, including registers of members, directors, and secretaries. Handle all filings with the Registrar of Companies and other regulatory bodies.

Advisory Role

:

Provide legal, financial, and strategic advice to the board and senior management, especially on matters related to mergers, acquisitions, restructuring, and compliance.

Stakeholder Communication

:

Serve as a point of contact between the board, shareholders, and regulators. Coordinate with external auditors, lawyers, and tax consultants as necessary.

Risk Management

:

Identify legal and compliance risks and suggest appropriate mitigation strategies.

Record Keeping and Reporting

:

Maintain up-to-date records and prepare reports as required by the board and regulatory authorities.

Requirements:



Semi Qualified or Qualified Company Secretary (CS) from a recognized institute (e.g., ICSI in India, ICSA in the UK). Bachelor's degree in Law, Business Administration, or related field; LLB preferred. Minimum 0-2 years of relevant experience in corporate governance and compliance. In-depth knowledge of corporate law, financial regulations, and governance frameworks. Strong communication, interpersonal, and analytical skills. High level of integrity and confidentiality. Proficiency with corporate secretarial software and Microsoft Office.

Pay: ?25,000.00 - ?30,000.00 per month
